Referral Program Terms of Service

1. Overview
The Citable Refer & Earn Program ("Referral Program") allows approved participants ("Referral Partners") to earn recurring commissions by referring new paying customers to Citable. By joining the Referral Program, you agree to these Referral Program Terms of Service ("Referral Terms") in addition to Citable's general Terms of Service.
Citable Inc. ("Citable," "we," "us," or "our") reserves the right to modify, suspend, or terminate the Referral Program at any time with reasonable notice to active Referral Partners.
2. Eligibility
To participate in the Referral Program, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Comply with all applicable laws and regulations in your jurisdiction
- Not be a current Citable employee or immediate family member of an employee
Citable reserves the right to approve or reject any application to the Referral Program at our sole discretion.
3. Referral Process
3.1 Referral Links
Upon acceptance into the Referral Program, you will receive a unique referral link. A referral is attributed to you when a prospect clicks your link, a tracking cookie is set, and the prospect subsequently subscribes to a paid Citable plan.
3.2 Cookie Duration
Referral tracking cookies are valid for 90 days from the date the prospect first clicks your referral link. If the prospect does not convert within this window, the referral attribution expires.
3.3 Attribution
Referrals are attributed on a last-click basis. If a prospect clicks multiple referral links, the most recent referral partner receives the attribution. Self-referrals (referring yourself or your own company) are not permitted.
4. Commission Structure
4.1 Commission Rate
Referral Partners earn a 20% recurring commission on the net subscription revenue (excluding taxes, refunds, and chargebacks) generated by each referred customer.
4.2 Commission Duration
Commissions are paid for a period of 3 months from the date the referred customer's first paid subscription begins. After 3 months, commissions on that customer cease regardless of whether the customer remains subscribed.
4.3 No Cap
There is no limit on the number of referrals you can make or the total commissions you can earn.
4.4 Commission Adjustments
Commissions may be adjusted or reversed in the event of customer refunds, chargebacks, subscription downgrades, or fraudulent activity. We reserve the right to modify the commission rate with 30 days' prior notice to active Referral Partners.
5. Payouts
5.1 Payment Schedule
Commissions are calculated monthly and paid out within 30 days after the end of each calendar month, subject to a minimum payout threshold of $50 USD.
5.2 Payment Method
Payouts are processed via Stripe. You are responsible for providing valid payment details and keeping them up to date. Citable is not responsible for delays caused by incorrect payment information.
5.3 Taxes
You are solely responsible for reporting and paying any taxes owed on commissions earned. Citable may request tax documentation (e.g., W-9 or W-8BEN) as required by law and may withhold payments until such documentation is provided.
6. Promotional Guidelines
When promoting Citable through the Referral Program, you must:
- Accurately represent Citable's products, features, and pricing
- Clearly disclose your referral relationship (e.g., "I earn a commission if you sign up through my link")
- Comply with FTC endorsement guidelines and equivalent regulations in your jurisdiction
- Not use Citable's trademarks or branding in a way that implies official endorsement without prior written approval
- Not engage in spam, unsolicited messaging, or deceptive advertising
- Not bid on Citable branded keywords (e.g., "Citable," "getcitable") in paid search advertising
- Not create fake reviews, testimonials, or misleading comparison content
7. Prohibited Activities
The following activities are strictly prohibited and may result in immediate termination:
- Self-referrals or referring entities you own or control
- Cookie stuffing, click fraud, or any form of artificial traffic generation
- Using coupon or deal sites to intercept organic Citable traffic
- Creating accounts on behalf of referred customers
- Incentivizing sign-ups with cash-back, gift cards, or similar offers funded by commissions
- Any activity that violates applicable laws, including anti-spam and data protection regulations
8. Termination
8.1 By You
You may leave the Referral Program at any time by notifying us at partners@getcitable.com. Earned but unpaid commissions above the minimum threshold will be paid out in the next regular payout cycle.
8.2 By Citable
We may suspend or terminate your participation in the Referral Program at any time for any reason, including but not limited to violation of these Referral Terms. In cases of fraud or abuse, we reserve the right to withhold all unpaid commissions.
8.3 Effect of Termination
Upon termination, your referral link will be deactivated and no new referrals will be tracked. Commissions already earned and cleared will be paid according to the regular payout schedule.
9. Relationship of the Parties
You are an independent contractor and not an employee, agent, or legal representative of Citable. Nothing in these Referral Terms creates a partnership, joint venture, or employment relationship. You have no authority to bind Citable to any obligation or make representations on our behalf.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITABLE'S TOTAL LIABILITY TO YOU UNDER THESE REFERRAL TERMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE 3 MONTHS PRECEDING THE CLAIM. CITABLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE REFERRAL PROGRAM.
11. Modifications
We reserve the right to modify these Referral Terms at any time. Material changes will be communicated to active Referral Partners via email at least 30 days before taking effect. Continued participation in the Referral Program after changes take effect constitutes acceptance of the updated terms.
12. Governing Law
These Referral Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Referral Terms shall be resolved in the courts located in California.
